1. Introduction
This Driver Agreement ("Agreement") is entered into between Impromptu Success ("Company," "we," "our," or "us") and you ("Driver," "you," or "your"), an independent contractor who wishes to provide delivery services through the Impromptu Success platform.
By applying to become a driver and accepting deliveries through our platform, you agree to be bound by the terms and conditions set forth in this Agreement. Please read this Agreement carefully before proceeding.
This Agreement governs your relationship with Impromptu Success and outlines the expectations, responsibilities, and requirements for all drivers in our delivery network serving the Columbus, Ohio area.
2. Driver Eligibility Requirements
To qualify as a driver for Impromptu Success, you must meet and maintain the following requirements:
2.1 Valid Driver's License
- You must possess a valid driver's license issued by the State of Ohio or another U.S. state
- Your license must be current and not suspended, revoked, or expired
- You must be at least 18 years of age (21 for certain delivery types)
- You must have held your driver's license for a minimum of one (1) year
2.2 Valid Auto Insurance
- You must maintain active auto insurance that meets or exceeds Ohio's minimum liability requirements
- Minimum coverage: $25,000 bodily injury per person, $50,000 bodily injury per accident, $25,000 property damage
- We recommend carrying higher coverage limits and commercial delivery insurance
- Proof of insurance must be provided upon request and kept current at all times
2.3 Clean Driving Record
- No DUI/DWI convictions within the past seven (7) years
- No reckless driving convictions within the past three (3) years
- No more than three (3) moving violations within the past three (3) years
- No at-fault accidents resulting in serious injury or fatality
- Must pass a background check including driving history review
2.4 Reliable Vehicle
- Your vehicle must be in good working condition and pass a basic safety inspection
- Vehicle must be no older than 15 years (model year 2010 or newer)
- Vehicle must have valid registration and current tags
- Vehicle must be properly maintained with functioning lights, brakes, and safety equipment
- Vehicle must be clean and presentable for customer interactions
2.5 Smartphone with GPS Capability
- You must have a smartphone (iOS or Android) with GPS/location services
- Device must be capable of running the Impromptu Success driver application
- You must maintain an active mobile data plan sufficient for app operation
- Phone must be in good working condition with reliable battery life
3. Independent Contractor Status
Your relationship with Impromptu Success is that of an independent contractor, not an employee. This distinction is important and affects your rights, responsibilities, and tax obligations.
3.1 Not an Employee
- You are an independent contractor and not an employee of Impromptu Success
- You are free to accept or decline delivery requests at your discretion
- You set your own schedule and working hours
- You may work for other delivery platforms or companies simultaneously
- You are not entitled to employee benefits such as health insurance, paid time off, or retirement benefits
- We do not control the manner in which you perform deliveries, only the end result
3.2 Responsible for Own Taxes
- You are solely responsible for reporting and paying all applicable taxes on your earnings
- This includes federal income tax, state income tax, and self-employment tax
- We will provide you with a 1099 form if your annual earnings exceed the IRS threshold
- You are responsible for making estimated quarterly tax payments as required
- We recommend consulting with a tax professional regarding your obligations
- We do not withhold taxes from your payments
3.3 Provide Own Vehicle and Phone
- You must provide your own vehicle for performing deliveries
- You are responsible for all vehicle-related expenses including fuel, maintenance, repairs, and insurance
- You must provide your own smartphone and pay for your own mobile data plan
- Any equipment you use is your personal property and responsibility
- You may be eligible to deduct vehicle and phone expenses on your taxes (consult a tax professional)
4. Driver Responsibilities
As a driver for Impromptu Success, you agree to uphold the following standards and responsibilities:
4.1 Timely Pickup and Delivery
- Accept only those deliveries you can complete within the estimated timeframe
- Arrive at pickup locations promptly and within the designated time window
- Deliver items to customers within the promised delivery timeframe
- Communicate proactively if delays occur due to traffic, weather, or other circumstances
- Follow the most efficient and safe route to complete deliveries
- Maintain an on-time delivery rate of at least 90%
4.2 Professional Appearance and Conduct
- Present yourself in a clean, professional manner when interacting with customers and vendors
- Wear appropriate, presentable clothing (no offensive graphics or language)
- Maintain a courteous and respectful demeanor at all times
- Represent Impromptu Success positively in all interactions
- Do not engage in discriminatory, harassing, or threatening behavior
- Remain sober and alert while performing deliveries (no alcohol or impairing substances)
4.3 Vehicle Maintenance and Cleanliness
- Keep your vehicle clean, both interior and exterior
- Ensure your vehicle is free of strong odors (smoke, pets, etc.)
- Maintain your vehicle in safe operating condition
- Address any mechanical issues promptly before they affect deliveries
- Keep the cargo area clean and suitable for transporting customer items
4.4 Customer Service Expectations
- Greet customers warmly and professionally
- Verify delivery details and confirm receipt with customers
- Handle customer questions or concerns politely and escalate when necessary
- Follow any special delivery instructions provided by customers
- Protect customer privacy and confidentiality
- Maintain a customer rating of at least 4.5 out of 5 stars
4.5 Handling of Cash Payments
- Some deliveries may involve cash-on-delivery (COD) payments
- Collect the exact amount specified in the delivery order
- Provide accurate change when necessary
- Submit all collected cash payments according to company procedures
- Never accept tips in lieu of payment for goods or services
- Report any discrepancies immediately to Impromptu Success support
5. Delivery Zones and Fees
Impromptu Success operates a 3-tier zone delivery system in the Columbus, Ohio metropolitan area.
5.1 3-Tier Zone System
- Zone 1 (Local): 0-5 miles from pickup location - Base delivery area with highest volume
- Zone 2 (Extended): 5-15 miles from pickup location - Moderate distance deliveries
- Zone 3 (Regional): 15-30 miles from pickup location - Long-distance deliveries with premium rates
Zone boundaries are determined by the pickup location for each delivery. You may choose to accept or decline deliveries in any zone based on your preferences.
5.2 Compensation Structure
- Zone 1: Base pay of $4.00 per delivery plus $0.50 per mile
- Zone 2: Base pay of $6.00 per delivery plus $0.60 per mile
- Zone 3: Base pay of $10.00 per delivery plus $0.75 per mile
- Tips: You keep 100% of all customer tips
- Peak Hours: Additional bonuses may apply during high-demand periods
- Payment Schedule: Payments are processed weekly via direct deposit
5.3 Minimum Delivery Requirements
- To remain active on the platform, complete a minimum of 5 deliveries per month
- Drivers who do not meet minimum requirements may be placed on inactive status
- Inactive drivers must reapply and may need to complete the onboarding process again
- Priority access to high-value deliveries is given to drivers who maintain consistent activity
6. Insurance and Liability
Understanding insurance requirements and liability is essential for your protection and compliance.
6.1 Driver's Insurance Requirements
- You must maintain personal auto insurance meeting Ohio's minimum requirements at all times
- Your insurance policy must cover you while using your vehicle for delivery purposes
- Many personal auto policies exclude commercial use - verify coverage with your insurer
- We strongly recommend obtaining a commercial or rideshare/delivery endorsement
- You must provide proof of current insurance upon request
- Failure to maintain adequate insurance is grounds for immediate deactivation
6.2 Accident Procedures
In the event of an accident while performing a delivery:
- Ensure the safety of yourself and others; call 911 if there are injuries
- Exchange information with all parties involved
- Document the scene with photos if safe to do so
- File a police report if required by law or if there is significant damage
- Notify Impromptu Success within 24 hours of any accident that occurs during a delivery
- Report the incident to your personal auto insurance company
- Do not admit fault at the scene
6.3 Liability Limitations
- Impromptu Success is not liable for accidents, injuries, or damages that occur during deliveries
- You assume all risk associated with operating your vehicle and performing deliveries
- You agree to indemnify and hold harmless Impromptu Success from any claims arising from your actions
- Our liability for lost or damaged items during delivery is limited to the declared value of the item
- We are not responsible for items damaged due to improper handling or negligence by the driver
7. Safety Requirements
Safety is our top priority. All drivers must adhere to the following safety standards:
7.1 Safe Driving Practices
- Obey all traffic laws, speed limits, and road signs at all times
- Never use your phone while driving (use hands-free devices or pull over safely)
- Wear your seatbelt at all times while operating your vehicle
- Do not drive under the influence of alcohol, drugs, or any impairing substances
- Avoid aggressive driving behaviors such as tailgating, speeding, or road rage
- Adjust your driving for weather and road conditions
- Take breaks when fatigued; never drive when drowsy
7.2 Food Safety (For Applicable Deliveries)
- Use insulated bags or containers provided for food deliveries
- Keep hot foods hot and cold foods cold during transport
- Do not open food containers or tamper with food items
- Complete food deliveries promptly to maintain quality and safety
- Report any concerns about food quality or packaging to support
- Follow all food handling guidelines provided during onboarding
7.3 COVID-19/Health Protocols
- Do not work if you are experiencing symptoms of illness (fever, cough, etc.)
- Practice good hand hygiene; wash or sanitize hands frequently
- Offer contactless delivery options when requested by customers
- Wear a face covering if required by local regulations or customer request
- Keep your vehicle clean and sanitize frequently touched surfaces
- Follow all current local, state, and federal health guidelines
- Report any positive COVID-19 test to Impromptu Success immediately
8. Termination
Either party may terminate this Agreement at any time. Below are the conditions and procedures for termination.
8.1 Grounds for Deactivation
Impromptu Success may deactivate your driver account for the following reasons:
- Violation of any terms in this Agreement
- Failure to meet eligibility requirements (expired license, lapsed insurance, etc.)
- Customer rating falling below 4.0 stars for an extended period
- On-time delivery rate falling below 85%
- Fraudulent activity, theft, or dishonest behavior
- Harassment, discrimination, or threatening behavior toward customers, vendors, or staff
- Driving under the influence or reckless driving
- Criminal conviction related to driving, violence, or theft
- Repeated failure to follow delivery procedures or safety protocols
- Failure to complete minimum delivery requirements for 60+ consecutive days
8.2 Appeals Process
- If your account is deactivated, you will receive written notice with the reason for deactivation
- You may appeal the decision within 14 days of receiving the deactivation notice
- Submit your appeal in writing to support@impromptusuccess.com with subject line "Driver Appeal"
- Include your full name, driver ID, and a detailed explanation of your appeal
- Appeals will be reviewed within 10 business days
- The decision on appeal is final and binding
- Some deactivations (e.g., safety violations, criminal activity) may not be eligible for appeal
9. Dispute Resolution
In the event of any dispute arising from this Agreement or your relationship with Impromptu Success:
- Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting Impromptu Success support
- Mediation: If informal resolution is unsuccessful, disputes may be submitted to mediation before a mutually agreed-upon mediator
- Arbitration: Any dispute not resolved through mediation shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association
- Governing Law: This Agreement is governed by the laws of the State of Ohio
- Venue: Any legal proceedings shall take place in Franklin County, Ohio
- Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits
10. Changes to Agreement
Impromptu Success reserves the right to modify this Agreement at any time. We will provide notice of material changes through:
- Email notification to your registered email address
- In-app notifications through the driver application
- Posting the updated Agreement on our website with a new "Last Updated" date
Your continued use of the platform after changes are posted constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must stop using the platform and terminate your driver account.
We recommend reviewing this Agreement periodically to stay informed of any updates.
