1. Acceptance of Terms
By accessing and using the services provided by Impromptu Success ("Company," "we," "our," or "us"), located at 6188 Ambleside Dr Unit A, Columbus, Ohio, you ("Customer," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Provided
Impromptu Success offers a variety of technology repair, business consulting, document preparation, and related services including but not limited to:
- Computer, phone, tablet, and game console repair
- Data recovery and virus removal
- Network setup and hardware upgrades
- Business consulting and penetration testing
- Website development and digital marketing
- Notary services and document preparation
- 3D printing and custom application development
- U-Haul services, copy/print services, and other convenience services
3. Service Estimates and Pricing
All pricing estimates provided are subject to change based on the actual work required. We will notify you of any significant price changes before proceeding with the work. Diagnostic fees may apply and will be disclosed upfront. If you decline repair after diagnosis, the diagnostic fee remains due.
Payment Terms
- Payment is due upon completion of services unless other arrangements are made in writing
- We accept cash, credit cards, and other payment methods as posted in our facility
- A deposit may be required for certain services or high-value repairs
- Late payments may incur additional fees
4. Warranty and Guarantees
Repair Services Warranty
We provide a 90-day warranty on parts and labor for most repair services. This warranty covers:
- Defects in parts installed by us
- Workmanship related to the specific repair performed
- Failure of repaired components under normal use
Warranty Exclusions
The warranty does NOT cover:
- Damage caused by misuse, abuse, or accidents after service
- Liquid damage, physical damage, or modifications made after service
- Issues unrelated to the original repair
- Used or refurbished parts supplied by the customer
- Software issues, viruses, or malware infections
- Data loss of any kind
- Normal wear and tear
5. Data Backup and Loss
IMPORTANT: You are solely responsible for backing up your data before any service. While we take reasonable precautions to protect your data, we are NOT responsible for any data loss that may occur during service, repair, or diagnostic procedures.
We strongly recommend that you:
- Back up all important data before bringing devices to us
- Remove sensitive or personal information when possible
- Keep copies of important files in multiple locations
Data recovery services are provided on a best-effort basis with no guarantee of success.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claim shall not exceed the amount paid for the specific service
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, revenue, data, or business opportunities
- We are not responsible for the content, accuracy, or legality of customer-provided materials
- We are not liable for delays caused by factors beyond our reasonable control
7. Customer Responsibilities
As a customer, you agree to:
- Provide accurate information about device issues and history
- Disclose any previous repairs or modifications
- Remove passwords, locks, and security features before service when possible
- Retrieve completed items within 30 days of notification
- Pay all applicable fees in a timely manner
- Provide valid contact information for service updates
8. Abandoned Property and 30-Day Forfeiture
Any device, equipment, item, or other property left in our possession for service, repair, diagnosis, sale, trade, or any other reason is subject to the following 30-Day Forfeiture Policy:
- Pickup deadline: You must retrieve your property within 30 calendar days of the date we notify you that it is ready or that service is complete. If we are unable to reach you using the contact information you provided, the 30-day period begins on the date of drop-off.
- Deemed abandoned: Property not retrieved within this 30-day period is conclusively deemed abandoned, and all of your right, title, and interest in the property is forfeited.
- Transfer of ownership: Abandoned property becomes the sole and exclusive property of Impromptu Success. We may, at our sole discretion and without further notice, sell, recycle, donate, repurpose, or dispose of the property.
- No refund or compensation: You waive any claim to abandoned property and to any proceeds from its sale or disposition. No refund, credit, payment, or compensation of any kind will be owed to you.
- Charges still due: Forfeiture does not cancel any balance you owe. Storage fees may accrue, and you remain responsible for all unpaid diagnostic, repair, parts, and storage charges, which we may recover from any proceeds or pursue separately.
- Reasonable notice: We will make reasonable attempts to contact you at the information you provided before disposing of property, but we are not obligated to delay forfeiture beyond the 30-day period.
This policy is disclosed on our intake forms and at drop-off. Your signature, checkbox acceptance, or delivery of property to us constitutes agreement to it.
9. Third-Party Services and Products
We may recommend or use third-party services, software, or products. We are not responsible for the performance, quality, or issues related to third-party offerings. Any warranties or guarantees on third-party products are provided by the manufacturer.
10. Business Consulting and Professional Services
For business consulting, penetration testing, and professional services:
- Services are provided based on our professional judgment and industry best practices
- We do not guarantee specific business results or outcomes
- You are responsible for implementing any recommendations
- Confidential information will be handled in accordance with our Privacy Policy
- Detailed service agreements may be required for complex projects
11. Notary Services
Notary services are performed in accordance with Ohio state law. The notary:
- Acts as an impartial witness and does not provide legal advice
- Verifies identity and willingness to sign documents
- Maintains records as required by law
- May refuse service if legal requirements are not met
12. Intellectual Property
For website development, graphic design, and custom application services:
- Upon full payment, you receive ownership of the final deliverables
- We retain rights to use work samples for portfolio and marketing purposes
- You must provide legal rights to any materials you supply
- Third-party licenses for software, fonts, or stock images are your responsibility
13. Cancellation and Refund Policy
- Service appointments may be cancelled or rescheduled with 24 hours notice
- Deposits are non-refundable if we have ordered parts or begun work
- Refunds for services are provided at our discretion on a case-by-case basis
- Diagnostic fees are non-refundable once service has begun
14. Privacy and Confidentiality
We respect your privacy and handle your personal information in accordance with our Privacy Policy. We maintain confidentiality of your business and personal information, except as required by law.
15. Dispute Resolution, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
- Informal resolution first: Before filing any claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
- Governing law: These Terms and any dispute are governed by the laws of the State of Ohio, without regard to its conflict-of-law principles.
- Binding arbitration: Except for matters that qualify for small-claims court, any dispute that cannot be resolved informally shall be settled by final and binding individual arbitration administered in Franklin County, Ohio, rather than in court. Judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver: All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
- Jury trial waiver: To the maximum extent permitted by law, you and Impromptu Success each waive any right to a trial by jury.
- Venue: For any matter not subject to arbitration, exclusive venue lies in the state or federal courts located in Franklin County, Ohio, and you consent to their personal jurisdiction.
- Time limit to bring claims: Any claim must be filed within one (1) year after the event giving rise to it; otherwise it is permanently barred to the fullest extent allowed by law.
- Attorneys' fees: In any action to enforce these Terms or to collect amounts owed, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.
16. Buy, Sell, and Trade Electronics
For our electronics buy, sell, and trade services:
- Purchases: All purchased devices are tested and sold "as-is" with a 30-day functional warranty unless otherwise stated
- Sales: We provide fair market value assessments based on device condition, age, and market demand
- Trade-ins: Trade-in values are determined at time of assessment and valid for 7 days
- Device Condition: All devices must be accurately represented; misrepresented condition may result in revised offers
- Ownership Verification: You must provide proof of ownership and ensure devices are not reported lost or stolen
- Data Responsibility: You are responsible for backing up and wiping personal data before sale or trade-in
- Payment: Payments for purchased devices are made via cash, check, or store credit at time of transaction
- Returns: Purchased devices may be returned within 30 days with original receipt and in same condition
- iCloud/Account Locks: Devices with activation locks, iCloud locks, or account restrictions will not be accepted
- Final Sale: Trade-in and sell transactions are final once payment is accepted
17. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

- Platform Role: Impromptu Success provides the marketplace platform but does not manufacture, warehouse, or ship vendor products.
- Returns: Return policies for vendor products are set by each individual vendor.
24. Delivery Services
For orders with delivery:
- Delivery Zones: Delivery is available within specified zones around Columbus, Ohio. Fees vary by distance.
- Delivery Times: Estimated delivery times are not guaranteed and may vary due to traffic, weather, or other factors.
- Signature: Some deliveries may require a signature. If no one is available, redelivery attempts may incur additional fees.
- Inspection: Please inspect items upon delivery. Report any damage or missing items within 24 hours.
- Risk of Loss: Risk of loss transfers to you upon delivery to the specified address.
25. Financing and Lease-to-Own
We offer financing options through third-party providers:
- Third-Party Providers: Financing is provided by Progressive Leasing and Acima, not by Impromptu Success.
- Separate Agreements: Financing agreements are between you and the financing company. Please review their terms carefully.
- Credit Decisions: Approval, credit limits, and terms are determined by the financing provider.
- No Guarantee: We do not guarantee approval for financing. Alternative payment methods are available.
- Questions: Direct financing questions to the respective provider.
26. Photo and Video Consent
By entering our premises or submitting photos/videos to us:
- You consent to the use of images or videos taken on our premises for marketing, social media, and promotional purposes.
- Product photos submitted for listing may be used on our website and marketing materials.
- You may request removal of your likeness by contacting us in writing.
27. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, government actions, civil unrest, power outages, internet service failures, or supplier disruptions.
28. Disclaimer of Warranties
EXCEPT FOR ANY EXPRESS LIMITED WARRANTY STATED IN SECTION 4, ALL SERVICES, PRODUCTS, AND DEVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPROMPTU SUCCESS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that our services will be uninterrupted or error-free, or that any repair will restore a device to a particular condition.
29. Indemnification
You agree to indemnify, defend, and hold harmless Impromptu Success and its owners, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms or any law; (c) any device, material, or content you provide to us, including any claim that it infringes a third party's rights or was unlawfully obtained; or (d) inaccurate or incomplete information you provide to us.
30. Assignment, Waiver, and Headings
You may not assign or transfer these Terms without our prior written consent; we may assign them freely. Our failure to enforce any provision is not a waiver of our right to enforce it later. Section headings are for convenience only and do not affect interpretation. These Terms bind and benefit the parties and their permitted successors and assigns.
31. Entire Agreement
These Terms of Service, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Impromptu Success regarding your use of our services. Any prior agreements, representations, or understandings are superseded by these Terms.
